Forms of doing business in Poland

  • Limited liability company

- Agreement: a notarial deed

- Seed capital: min. 5, 000 PLN

- Seed value: min. 50 PLN

- Contribution: monetary/non-monetary

- Supervisory board: optional, compulsory when capital 500,000+ PLN and 25+ partners

- Authority: General Meeting of Shareholders

- Representation: The Board

- Taxation: CIT, VAT, PCC, property tax

- Accounting: account books

  • Joint stock company

- Agreement: a notarial deed

- Seed capital: min. 100 000 PLN

- Seed value: min. 1 grosz (0,01 PLN)

- Contribution: monetary/non-monetary

- Supervisory board: mandatory

- Authority: The General Assembly

- Representation: The Board

- Taxation: CIT, VAT, PCC, property tax

- Accounting: account books

  • Limited partnership

- Agreement: a notarial deed

- Seed capital: no min. requirements

- Seed value: min.1 grosz (0,01 PLN)

- Contribution: monetary/non-monetary/work

- Supervisory board: no

- Authority: general partner, limited partner if  acting as proxy

- Representation: The Board

- Taxation: no double taxation - income and deductible expenses are declared only by its shareholders, but company is obliged to pay other taxes such as VAT, PCC, property tax

- Accounting: account books

  • Company limited by shares

- Agreement: a notarial deed

- Seed capital: min. 50, 000 PLN

- Seed value: min. 1 grosz (0,01 PLN)

- Contribution: monetary/non-monetary

- Supervisory board: optional, compulsory when 25+ shareholders

- Authority: general partner, shareholder if  acting as proxy

- Representation: The Board

- Taxation: no double taxation - income and deductible expenses of the company are declared only by associates (shareholder only at dividend payout), but company is obliged to pay other taxes such as VAT, PCC, property tax

- Accounting: account books

In order to start a business one needs to register it accordingly

  • sole proprietorship at CEIDG (Central Registration And Information On Business) 
  • partnership and company at KRS (National Court Register)
